Thank millions.Akira Tsukagawa CFA MBA shared thisRaising Capital in Times of Valuation Uncertainty At Tau Ventures, we remain bullish on AI deep tech companies and see tremendous opportunity to build enduring innovative companies in 2023. This year begins with a record amount of capital already raised by venture capital (VC) funds. According to SVB, VC/PE funds have $269 billion of dry powder (SVB, December 2022) waiting to be deployed. At the same time, valuation multiples have been changing significantly from 20x next twelve months revenue to 5x to 10x (TechCrunch, Jan 2023), causing some hesitation on how to price deals. For some startups, the result is rounds taking longer to close and yet a potential for a significant number of deals on the horizon. So how can startups move conversations to funding? Outlined below are a few tactics. 1. VIP & Channel Partners Round – Go back to investors who expressed interest in the last round, creating a "VIP" convertible note with a discount to a future round or slight markup to the last round's price. Second, bring channel partners on to the cap table. Channel partners that become investors may be more motivated to promote your product over other similar products. Third, consider asking early investors that don't do follow-ons to sell at the previous valuation and bring in a new investor with pro rata rights that tends to do follow-ons onto the cap table at the previous round's price. The change in mix of investors can bring new networks to the company's investor base. 2. Tranche Deals – Raise capital in two tranches in which part of the commitment from an investor comes in a first close and the remainder comes in a second close after an achievable milestone. These transactions tend to be common in the health care industry where approvals such as FDA or 510K clearances are clearly defined milestones. Yet, the same approach can be used in other industries where milestones could include product availability, closing customers, number of trial customers, retention, login rates, and so forth. 3. Variable Valuations – Variable valuations can be helpful in situations where the valuation is set for example based on the end of quarter performance or first half of the year performance. In certain cases, a startup's revenue prospects may change significantly as a pipeline converts from prospects to customers or an acquisition is completed. Akira Tsukagawa CFA MBA liked thisAkira Tsukagawa CFA MBA liked thisOur portfolio company TOWING has partnered with Kanematsu on an initiative to supply Chikaranomoto Company, the operator of the Ippudo ramen chain, with both domestically produced rice from farmers in Ogata Village, Akita Prefecture, and the environmental value generated through its production in the form of J-Credits. What makes this initiative notable is that it goes beyond simply reducing carbon emissions. The greenhouse gas reductions achieved through the application of biochar to farmland are converted into J-Credits and then integrated into the actual supply chain as a form of environmental value. Under the initiative, Kanematsu supplies the rice while ensuring traceability, and Chikaranomoto covers part of the cost incurred by farmers in adopting biochar. TOWING supplies the biochar and also handles the generation and retirement of the associated J-Credits. This creates a mechanism that connects farmers’ efforts to reduce environmental impact with downstream demand by translating those efforts into measurable environmental value. Qiming Venture Partners' portfolio company UBTECH Robotics (SEHK:9880) announced that its smart logistics subsidiary UQI has signed a procurement contract with Miracle Automation for its Walker S industrial humanoid robots, with a total value of RMB 30 million. Delivery is scheduled to be completed by December 31, 2025. With this milestone, contracts for the Walker humanoid robot series have reached nearly RMB 430 million to date (excluding orders for the full-sized research and education humanoid robot Tien Kung), including about RMB 50 million delivered in the first half of 2025.
