The chapter introduces a Value Co-Efficient for contracts and applies it to traditional contracts and smart legal contracts (SLCs), to quantitatively demonstrate the enhanced value of SLCs as the next generation of legally binding agreements. In 2026, I expect we will see continued investment from large strategic corporates investing in NZ growth companies and start-ups, especially in deep‑tech. Why? Corporates are searching for a genuine technological edge, and strategic capital can fill a funding gap for Founders, provided Founders know how to manage the relationship on their terms. If you’re a Founder in deep‑tech or frontier technology, here are 5 things to consider when negotiating with corporate investors to set the relationship up for long term success. 1. Understand why they want in: Before getting too far, get clarity on their strategic motivation. Is it technology access, market insight, future acquisition options or something else? 2. Protect your optionality: Corporate money is helpful. Corporate restraints are not. Watch for exclusivity, broad rights of first refusal or terms that could spook future investors. 3. Check the value beyond the investment: Ask them to be specific about what they will bring to the table. Distribution? Technical input? Regulatory know‑how in overseas markets? 4. Keep negotiations moving forward: Corporate processes can be slow and bureaucratic. Set expectations early about process and timing for completing the investment. If the deal drags, it drains momentum and distracts from building the business. 5. Test for cultural fit: A misaligned corporate partner can slow you down. Look for signs they understand startup speed, experimentation and resource constraints. Most do these days, as they have specialist teams that make these investments. But remember that chemistry matters. With the right guardrails, strategic corporate investment can be a powerful accelerator for Founders, and a valuable partner to existing VC investors.
