Terms and Conditions for the Logo-Generator Service
Please read the following important terms and conditions before you use the Logo Generator Service from IONOS and check that they contain everything you want and nothing that you are not willing to agree to.
1. Definitions
"Result of the Service" shall mean the logo designed or created by the user of the service with the assistance of the Service.
‘’Service or Services’’ shall mean the Logo Generator Service available at https://www.ionos.co.uk/tools/logo-maker
"Us" and ‘’IONOS’’ shall mean IONOS Cloud Ltd., a company registered in England and Wales under company number 3953678 and our registered office is at No.2 Cathedral Walk, The Forum, Gloucester, GL1 1AU, United Kingdom.
"User of the Website" or ‘’User’’ shall mean any natural person who accesses and uses the Website.
"User of the Service" or ‘’Service User’’ shall mean any natural person who designs or creates a Logo using the Service.
"You", ‘’Your’’ shall mean the person or company who use the Logo Generator Service from IONOS.
2. General
2.1 These Terms and Condtions govern the use of theLogo Generator, available at https://www.ionos.co.uk/tools/logo-maker (hereinafter "Website") by using the Website or downloading the Result of the Service, the User of the Service accepts these Terms and Conditions of the Service as amended from time to time.
2.2 The Website is created, developed and operated by IONOS.
2.3 The service on the website enables the user to create a logo ("Result of the Service") free of charge.
2.4 The service does not include legal advice regarding the use of the result of the service in private or business dealings in conformity with law or opposite rights of third parties. The use of the result of the service in business dealings, the registration of the result of the service as a trademark, its defence as well as its maintenance is the sole responsibility of the user of the Service and is not part of the Service.
2.5 The logo is created on the basis of and in accordance with the entries and settings made by the user within the use of the service.
2.6 Within the Serviceand during the development or design process of a logo, the user is shown various pictorial characters/symbols, icons, fonts, logos and design-elements (hereinafter "Templates") which the user can use to design their logo.
2.7 The result of the service will be displayed after the user's development or design process and will be available to the user for download in PNG- and SVG-file format after the user has provided his true, current and complete information and given his prior separate consent to e-mail advertising.
3. Licence for use
3.1 The Website, domain and the logo connecting to the Service, including but not limited to the related software, all add-ons, written materials, documentation, applications, websites, tools and products, templates, icons, fonts, logos and design-elements, all modifications, enhancements and updates to the service, and in particular all copyrights, patent rights, trademark rights and all other ancillary copyrights and intellectual property rights in and relating to the Service are owned by IONOS.
3.2 The User acknowledges that isolated templates have been licensed to IONOS by third party providers, which such third party providers may also obtain from other third party providers.
3.3 IONOS grants the User of the Service the non-exclusive, non-transferable, non-sub licensable, freely revocable, royalty-free right to use the Service.
3.4 IONOS grants the Service User the non-exclusive, transferable, sub-licensable, freely revocable, royalty-free right to use the result of the Service.
3.5 The User undertakes not to create derivative works of the works referred to in Section 3.1 or to edit them.
4. Availability and changes to the service
4.1 In particular, IONOS does not warrant that the Website, the Service, templates or individual elements of the templates or parts thereof will function error-free and uninterruptedly, will be constantly available and accessible and free of failures, bugs or malfunctions.
4.2 IONOS is entitled, for reasons of technical progress, security, technical availability as well as for reasons of stable operation and integrity of the IONOS systems or in order to comply with its obligation to provide technically up-to-date solutions, to completely or temporarily shut down, change or restrict access to the Website, the Service and the templates or individual parts thereof.
4.4 IONOS is entitled to limit the availability of the Service to Users within the UK.
5. Prohibited use
5.1 The use of the Service only applies to the User and shall not be provided for commercial purposes to any other party.
5.2 In particular, the User is prohibited from using the Website, the Service, individual templates or individual elements of the templates or parts thereof, either in whole or in part,
5.2.1 to imitate, duplicate, reproduce, copy, sell, resell, rent, process or exploit in the form of a licence,
5.2.2 embed, frame or otherwise link directly to the Website or the Service without the prior written consent of IONOS,
5.2.3 make it available to any other third party in any form for private or commercial use, whether in return for payment or free of charge.
5.3 The User is in particular prohibited from using individual templates or individual elements of the templates or parts thereof, irrespective of the result of the Service, elsewhere individually or in combination with other templates, trademarks or business designations not provided by IONOS. Likewise, the User is in particular prohibited from imitating, duplicating, reproducing, copying, selling, reselling, renting, editing, using in any other way than for the result of the Service or exploiting in the form of a licence individual templates or elements of the templates individually or in combination.
5.4 The User undertakes not to use the Website, the Service, templates or individual elements of the templates or parts thereof, or the result of the service for illegal, fraudulent or unlawful purposes.
5.5 In addition to the other prohibitions set forth in these Termsand Conditions, the User is further prohibited in particular from;
5.5.1 soliciting other third parties to perform or participate in unlawful acts;
5.5.2 violating legal prohibitions, regulations, rules or ordinances (in particular regulations of criminal law and competition law); or
5.5.3 offending common decency by using the Website, the Service, the templates or individual elements thereof or by using the result of the service; to
5.5.4 harass, abuse, insult, injure, defame, disparage, intimidate or discriminate against any third party on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin or disability; and
5.5.5 infringe the rights of IONOS or its affiliates; or
5.5.6 the rights of any third party (in particular trademark, domain, name, copyright, privacy or personal rights).
6. Blocking access to the service
IONOS may, at any time after becoming aware of any violation of any law, including the prohibitions mentioned in Clause 4, immediately block the user's access to the service temporarily or prohibit the use of the service permanently, if the user in particular
(I) infringes the intellectual property rights of IONOS or its licensors,
(II) violates any provision of these Terms of Service or applicable law,
(III) infringes any third party rights,
(IV) uses or attempts to use multiple internet connections to use the service simultaneously,
(V) circumvents or attempts to circumvent any technical protection measures implemented by IONOS.
7. Indemnity Claim
In the event of a claim being made against IONOS by a third party due to breaches of competition law, infringement of third party rights (in particular trademark, domain, name, copyright, data protection or personal rights) due to the use of the result of the Service by the User of the Service, the User of the Service undertakes to indemnify IONOS on first written request against all claims by third parties and the resulting obligations, damages, costs and expenses (in particular claims for damages, court costs, lawyers' fees and warning costs) and to compensate IONOS for any damage arising from the claim. The User of the Service also undertakes to inform IONOS immediately of any claim or demand made against it in connection with the use of the result of the Service due to a potential infringement of competition law, intellectual property, or data protection laws.
8. Warranty and liability
8.1 IONOS shall not be liable to the User or third parties in particular for any temporary or total shutdown, modification, access restriction or termination of the website, the Service or the templates.
8.2 The User undertakes to carefully check the individual templates and/or their combination, which form the rResult of the Service, himself or through a lawyer or other expert third party with regard to a possible potential infringement of the result of the service against applicable legal regulations (in particular regulations of criminal law and competition law), morality or existing rights of third parties (in particular intellectual property, data protection laws) before private or corporate use in business dealings.
8.3 In particular, IONOS is not liable for violations of competition law, violations of intellectual property, data protection laws or for other legal violations committed by the User in the course of private or business use of the Serviceor private or business use in the course of business of the Result of the Service.
8.4 IONOS is not aware of any third-party rights that conflict with the use of the Website, the Service, the templates or individual elements of the templates or parts thereof. Furthermore, any liability of IONOS in the event that the Website, the Service, the templates or individual elements of the templates infringe third party rights is excluded.
8.5 IONOS shall only be liable for damages if IONOS or one of its vicarious agents has breached a material obligation or if the damage is due to gross negligence or intent on the part of IONOS or one of its vicarious agents. If the culpable breach of an essential obligation is not due to gross negligence or intent, the liability of IONOS shall be limited to the damage that was reasonably foreseeable for IONOS.
9. Feedback
If you send or submit any ideas, suggestions, comments, proposals, plans or other content to IONOS regarding theService, whether online, by email or otherwise ("feedback"), you grant IONOS a royalty-free, perpetual, irrevocable, worldwide and fully sub-licensable right, to edit, copy, publish, distribute, translate, otherwise use or exploit in any medium, reproduce, perform, display, adapt or modify, create derivative works from, and use commercially or non-commercially, all or any part of the feedback without limitation.
