Zee Entertainment Enterprises Limited just called proxy advisory firm InGovern's governance report "biased, misleading, and prejudiced," escalating a public battle over who controls one of India's largest broadcasters. That's worth paying attention to. I came across this clash, and while it looks like a corporate governance dispute on the surface, this is actually proxy advisors openly challenging promoter control in a company where the founding family holds under 4% equity but continues to exert operational authority. On the surface, it looks like Zee defending its reputation. But if you look deeper, this is actually InGovern framing Zee as a "shareholder activism opportunity" and calling for a professional MD, forensic audit, and broader governance reforms. What InGovern flagged: The report's central argument is misalignment between ownership and control. Although shareholders rejected Punit Goenka's reappointment as director in November 2024, he continues to lead as CEO, effectively circumventing the shareholder mandate. InGovern also highlighted: • Promoters have ₹500 crore liquidity but view buying 4-5% from market as "not meaningful" • CEO pay is 40 times average Zee employee salary • ICC cricket rights dispute: Star's damages claim $1.003 billion vs Zee's counterclaim $8 million • Fresh SEBI show cause notice dated January 16, 2026 What Zee responded: Zee said it "has always maintained the highest standards of Corporate Governance" and called the report "factually incorrect, misleading and prejudiced." Zee will issue a detailed rebuttal addressing "baseless allegations." What I found telling: InGovern suggested institutional investors could consider a buyback if promoters don't increase stake and proposes stronger governance disclosures. This isn't a technical governance note. This is proxy advisors telling institutional investors to force governance reforms or exit. Why this matters: Zee's Q3 FY26 profit declined 5.5% to ₹154.8 crore, EBITDA margin at 10.5%, advertising revenue fell 9.46% YoY. Over 15 directors have left Zee's board in three years, creating what InGovern calls a "governance vacuum." This clearly signals one thing: India's proxy advisory firms are no longer passive observers.
