From $3.44B to ~$200M. The UpGrad - Unacademy deal is more than a story about a 94% valuation reset. It is a powerful lesson in corporate resilience, capital strategy and knowing when to consolidate. When Ronnie Screwvala-led UpGrad completed its 100% share-swap acquisition of Unacademy, the valuation headline grabbed attention. But from a finance and leadership perspective, I see four bigger lessons: 1️⃣ Valuation is an opinion. Cash flow is reality. Peak valuations often reflect sentiment, abundant capital and growth expectations. When the cycle turns, the questions change: Can the business generate sustainable margins? Can it preserve cash? Can it survive without constantly raising capital? Growth gets attention. Cash flow gives you staying power. 2️⃣ Treasury is not just about managing cash - it is about preserving options. Unacademy reportedly entered the transaction with ~₹900 crore in cash reserves. That liquidity matters. A strong balance sheet gives management time, negotiating power and strategic choices when markets become difficult. Liquidity isn't idle cash. It is optionality. 3️⃣ Strategic synergy can beat fragmented competition. When customer acquisition becomes expensive and markets mature, operating multiple disconnected models becomes increasingly difficult. Combining Unacademy's test-prep reach with UpGrad's higher education and skilling ecosystem creates the potential for a broader customer lifecycle and stronger economics. Sometimes, consolidation creates more value than competition. 4️⃣ The structure of the deal matters. An all-stock share swap allows the acquirer to preserve liquidity while giving existing shareholders participation in the future upside of the combined business. That's capital allocation discipline in action. The bigger lesson? Enterprise value isn't created by the highest valuation a company can achieve during a funding boom. SoftBank Generated Soft Returns from India. And that’s exactly why they’re lighting up their India portfolio by, ➡️ ZERO fresh investments ➡️ Exiting existing bets While global giants like KKR, Brookfield, Norges Bank Investment Management, are LONG India, SoftBank Group seems to be playing a different game. Softbank dry spell season: ➡️ 0 new investments in 2023 ➡️ 2 follow-on rounds in 2024 ➡️ 1 follow-on round in 2025 That’s it. For 3+ years, no meaningful fresh capital deployment in India. In Jan 2026, SoftBank ended its dry spell by funding Emergent but with a small $30M cheque, far below its historical average ticket size of $100M+. And there’s a reason behind this pause. Returns have been underwhelming: ▶️ Negligible gains in Zomato (early exit) ▶️ ~35% loss in Paytm (late exit) ▶️ ~40% bleed in Ola Electric (still holding) ▶️ Sub-par performance across all bets in India That dents confidence. But frankly this doesn’t look like India’s failure. It looks like a capital allocation problem. India continues to attract long-term global capital. Rupee Hits New Low - It is a tough one ! 1. Scale of the RBI intervention so far is big. Size of the forward book has gone up (some $100B). Which means net reserves are down meaningfully. 2. The underlying USD demand from the BoP remains constant. In this slow grind environment - exports won't sell USD - Why should they ! Leaving RBI as the only entity with USD supply.

Growth exposes every weakness that was affordable at a smaller scale At ₹50 crore, a weak process can hide behind a strong person. At ₹500 crore, it usually can't. When the business is smaller, someone always knows the answer. The founder knows the customer. The finance head knows the cash position. Someone remembers why that payment was made. A reporting gap gets fixed with a phone call. It works. Until the business grows. More entities. More transactions. More people. More decisions. Suddenly, the things that depended on memory, proximity and personal intervention start becoming bottlenecks. The process didn't suddenly become bad. The business simply stopped having enough slack to compensate for it. That is what growth changes. A manual control that was manageable becomes a risk. One person holding critical knowledge becomes a dependency. A small reporting delay becomes a decision-making problem. The weakness was always there. Growth just made it expensive. And perhaps that is one of the harder parts of scaling a business: You don't just need to build for where the business is going. You have to stop relying on what only worked because the business was smaller.

₹1 lakh for a CFA class? No problem. ₹5,000 in actual markets? "I don't have money." Two conversations this month. One with a CA+CFA friend. One with a student preparing for CFA. Same pattern. RBI’s Liquidity Puzzle: One Problem, Multiple Tools India is facing an unusual macro combination: Surplus liquidity Rupee under pressure Brent above $100 Global bond yields elevated And the RBI is responding accordingly. The latest move: Rs 1 lakh crore of OMO sales across September. But the bigger signal is the multi-tool strategy: → Spot USD sales — smooth excessive INR volatility → USD/INR sell-buy swaps — absorb liquidity temporarily → VRRR — sterilise short-term surplus → OMO sales — drain durable liquidity and influence the G-sec curve The key insight: FX intervention and liquidity management are now increasingly interconnected. When the RBI sells dollars to support the rupee, it also absorbs rupee liquidity. When it uses sell-buy swaps, the liquidity impact is temporary. When it conducts OMO sales, the absorption becomes more durable—and the bond-market impact becomes more visible. That is why the latest ₹1 lakh crore OMO is significant. The RBI is not just managing liquidity. It is managing the interaction between liquidity, FX and bond yields. For Treasury: Surplus liquidity ≠ permanently lower yields. If sterilisation intensifies, the marginal cost of money can rise—and the belly of the G-sec curve may face upward yield pressure. The next signal to watch: Liquidity → USD/INR → Brent → G-sec yields.
